- Campaign Description
Félix Technologies Inc. (“Félix Pago”, “Félix”, “we”, or “the Company”) offers eligible users a temporary preferential exchange rate benefit (the "Campaign") during the period indicated in Section 3. The Campaign consists of a reference increase over the base exchange rate applicable at the time of the transaction.
Participation in the Campaign is subject to these Terms & Conditions (the "Terms"). By performing a transaction during the Campaign, the user agrees to be bound by these Terms.
- Eligibility and Participation Requirements
To participate in the Campaign, the user must meet all of the following requirements:
- Access via Spin: The user must have accessed Félix Pago through the official link or integration provided by Spin ("Spin Provided User"). Direct access to the Félix Pago app or access through other channels does not qualify. Active account: The user must have an active Félix Pago account at the time of the transaction. Regulatory compliance: The user must have successfully completed identity verification (KYC) processes and any other applicable regulatory requirements under United States money remittance service laws, as well as applicable Félix Pago policies. Félix's determination: Eligibility is determined exclusively by Félix Pago. Inclusion in the eligible segment is a necessary prerequisite; the Company reserves the right to verify and validate eligibility at any time.
Félix reserves the right to request additional information to comply with Know Your Customer (“KYC”) regulations and other applicable legal requirements.
- Validity Period:
The Campaign will be active during the following period:
May 8, 2026, to May 10, 2026
Only transactions initiated and successfully completed within this period will qualify to receive the benefit. Pending, canceled, rejected, or transactions initiated outside of this period do not qualify.
The Campaign does not imply any commitment to maintain preferential rates in the future or to renew or extend the promotional period.
- Description of the Benefit and Exchange Rate
4.1 Nature of the Benefit
The benefit consists of an increase over the base exchange rate in effect at the time of the transaction (the "FX Benefit"). The reference increase is approximately 50 basis points (bps), provided for illustrative purposes only.
4.2 Dynamic Exchange Rate — Important Notice
THE EXCHANGE RATE IS DYNAMIC AND FLUCTUATES IN REAL TIME. THE FOLLOWING APPLIES TO EACH TRANSACTION:
- The final exchange rate (including the FX Benefit) is determined and confirmed at the exact moment the transaction is processed, not before. Any reference improvement (e.g., +50 bps) is illustrative only and does not represent a guarantee of fixed savings or a minimum differential. The base exchange rate may rise or fall between the time the user initiates the transaction and the time it is processed. The exchange rate applicable to your transaction will be displayed on the confirmation screen before you authorize the transfer.
By authorizing the transaction, the user confirms having reviewed and accepted the exchange rate applicable at that moment.
- Communication Structure via Spin
Communicating this Campaign to eligible users is the sole responsibility of Spin. Félix Pago assumes no obligation to communicate the FX Benefit directly to users through its own channels.
- Félix Pago is not responsible for the content, scope, accuracy, or availability of communications made by Spin regarding this Campaign. In the event of a discrepancy between Spin's communications and these Terms, these Terms shall prevail. The user acknowledges that Spin acts as an independent communication channel and that any questions regarding the content of its communications should be directed to Spin.
- Transaction Conditions
For a transaction to qualify for the FX Benefit, it must:
- Be initiated and successfully completed during the Campaign period (Section 3). Be performed by an eligible user (Section 2). Not be subject to cancellation, rejection, reversal, or any irregularity that prevents its successful processing.
The FX Benefit will be granted only once per user during the Campaign period.
- Fraud, Abuse, and Disqualification
Félix reserves the right to suspend, cancel, or void the participation of any user who, in its sole determination, has:
- Used duplicate, fraudulent, or shared accounts. Attempted to manipulate, abuse, or improperly benefit from the Campaign or Félix Pago's systems. Provided false or incomplete information to obtain the benefit. Engaged in any activity that, in Félix's judgment, constitutes fraud, abuse, or a violation of these Terms.
In such cases, Félix may retroactively revoke the granted FX Benefit and take appropriate legal action, including reporting to competent authorities where applicable.
- Modification, Suspension, and Termination:
Félix Pago reserves the right to modify, suspend, or terminate the Campaign at any time, with or without prior notice, including—but not limited to—the following scenarios:
- Regulatory or legal changes that affect the viability of the Campaign. Technical, operational, or system errors that affect the correct application of the FX Benefit. Force majeure events or circumstances beyond Félix Pago's reasonable control. Detection of systemic fraud or abuse.
Any modification will be effective from the moment of its implementation and will not generate any right to compensation for users who have not completed an eligible transaction prior to said modification.
- Limitation of Liability
To the maximum extent permitted by applicable law:
- Félix's total liability arising from the Campaign is strictly limited to the value of the additional FX Benefit granted to the user in the eligible transaction. Félix Pago will not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of expected profits or anticipated exchange rates. Félix Pago assumes no responsibility for failures, interruptions, or errors in the systems of Spin or third-party financial service providers. Félix Pago does not guarantee that the FX Benefit will result in a specific net savings compared to other transfer options available in the market.
- Regulatory Compliance
This Campaign is offered in compliance with federal and state laws applicable to remittance services in the United States, including:
- The Electronic Fund Transfer Act (EFTA) and its Regulation E (12 CFR Part 1005), including provisions applicable to remittance providers. Anti-Money Laundering (AML) regulations and the Bank Secrecy Act (BSA). Applicable Know Your Customer (KYC) requirements.
Félix Pago reserves the right to request additional information or to deny the processing of a transaction if it deems it necessary to comply with its regulatory obligations, without this generating any right to compensation.
- Privacy
The processing of user personal data in the context of this Campaign is governed by the Félix Pago Privacy Policy, available in the app and on the Company's official website. By participating in the Campaign, the user authorizes the processing of their data to the extent necessary for the administration and verification of the FX Benefit.
- Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising from or related to these Terms or the Campaign shall be resolved exclusively in the competent federal or state courts located in the State of Delaware, to whose jurisdiction the parties expressly submit.
Nothing in these Terms limits the rights that may be available to the user under the consumer protection laws of their state of residence.
- General Provisions
- Entire Agreement: These Terms, together with the Félix Pago Privacy Policy and the general Terms of Use of the app, constitute the entire agreement between the user and Félix Pago regarding the Campaign. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. No Waiver: The failure of Félix Pago to exercise any right under these Terms shall not constitute a waiver of such right. Contact: For questions regarding the Campaign, the user may contact Félix Pago through the customer support channels available in the app.
By using the benefit of this Campaign, you confirm that you have read, understood, and accepted these Terms & Conditions.
